| | Automatic Handling of <R> ... </R> Tags The SEC may require the inclusion of <R> ... </R> tags in your HTML or ASCII filing to indicate revisions. This is often required in amendment filings. Proper insertion of these tags by hand can be cumbersone, painstaking and error-prone, and improper R-tags invalidate the entire filing. Part of the issue is understanding how R-tags work: -
R-tags are not standard HTML tags, and are not visible when a filing is viewed in a browser. -
SEC personnel search for these tags in text mode to identify revised material. These tags are then replaced by spaces before the filing is placed in the EDGAR database and disseminated the public. -
The public always sees the content enclosed by these tags. There is no way to show deleted content only to the SEC, but you may show it as overstruck text in an HTML filing. -
You cannot include R-tags in an HTML filing by typing them literally into your Word document and EDGARizing it. The HTML produced will not contain <R> tags, but text that displays as <R> tags along with other content. Tags entered in this way will be visible to the public (which you don't want), and will not be visible to the SEC (which also you don't want). To enter R-tags by hand, you have to edit the EDGARized HTML file with a text editor (not a WYSIWYG HTML editor), taking care not to alter any other tags which may invalidate your filing. The SEC also has rigid restrictions on how these tags may be included and paired. For example, the enclosed text may not span multiple lines, so marking a paragraph involves inserting R-tag pairs in every line of the paragraph. In a large document, this can be a very laborious process. It is no wonder that many users do not look forward to R-tagging their filings.
